Terms and Conditions

These Terms and Conditions ("Agreement") govern your access to and use of the healthcare data standardization platform and ETL (Extract, Transform, Load) tool implementation services (the "Services") provided by MITYUNG Infotech Pvt. Ltd. ("Company", "we", "our", or "us"). By accessing or using our Services, you ("User", "you", or "your") agree to comply with and be bound by the terms of this Agreement.

If you do not agree to these Terms and Conditions, you must not use our Services.

1. Services Provided

Company offers a platform for healthcare data standardization and implementation of ETL tools. Our Services include:

• Data standardization tools that transform healthcare data into a consistent and usable format.
• ETL tool implementation to facilitate data extraction, transformation, and loading for your healthcare system.
• Support, consulting, and customization services related to data standardization and ETL tools.

We reserve the right to modify, update, or discontinue the Services at any time without notice.

2. Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements to use our Services. By agreeing to these Terms and Conditions, you represent and warrant that you meet these eligibility requirements.

3. User Responsibilities

You agree to use our Services only for lawful purposes and in accordance with these Terms and Conditions. Specifically, you agree not to:

• Violate any applicable laws, regulations, or third-party rights in connection with your use of the Services.
• Upload, share, or transmit any data that is fraudulent, malicious, harmful, or infringing upon the intellectual property rights of others.
• Attempt to access, interfere with, or damage the functionality of our platform or data.
• Use our Services for unauthorized purposes, including but not limited to unauthorized data collection, data scraping, or reverse engineering.

4. Account Creation

To use certain aspects of the Services, you may need to create an account with us. When creating an account, you agree to:

• Provide accurate and complete information about yourself or your organization.
• Maintain the confidentiality of your account credentials and take responsibility for all activities that occur under your account.
• Notify us immediately if you suspect any unauthorized access or use of your account.

5. Data Usage and Ownership

By using our Services, you acknowledge and agree to the following:

• Ownership of Data: You retain ownership of any healthcare data you upload or provide to us. However, by using our Services, you grant us a non-exclusive, worldwide, royalty-free, and transferable license to access, process, and store your data solely for the purpose of providing the Services.
• Data Accuracy: You are responsible for ensuring the accuracy, legality, and completeness of any data you submit to the platform. We are not liable for any inaccuracies or issues that arise from incorrect data provided by you.
• Data Retention and Deletion: We will retain your data only as long as necessary to provide the Services and comply with legal obligations. You may request the deletion of your data, subject to the terms outlined in our Privacy Policy.

6. Fees and Payment

Access to certain features of our platform and services may require payment. By using the Services that involve fees, you agree to:

• Pay all fees associated with the use of our Services as outlined in the applicable pricing schedule.
• Provide accurate billing and payment information.
• Pay any taxes, duties, or other charges applicable to your use of the Services.

Failure to pay the required fees may result in the suspension or termination of your account and access to the Services.

7. Confidentiality

Both parties agree to keep any confidential information, including healthcare data and proprietary information, confidential and not disclose it to any third parties without prior written consent, except as required by law. This obligation remains in effect even after the termination of this Agreement.

8. Intellectual Property

All intellectual property rights in the Services, including but not limited to software, tools, documentation, and content, are owned by Company or its licensors. You may not copy, modify, distribute, or create derivative works based on our intellectual property without explicit permission.

9. Service Availability

While we strive to provide reliable and uninterrupted service, we do not guarantee that the Services will be error-free or available at all times. We reserve the right to suspend or discontinue the Services at any time for maintenance, upgrades, or other reasons.

10. Disclaimer of Warranties

To the fullest extent permitted by law, Company provides the Services "as is" and disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will meet your requirements or be error-free.

11. Limitation of Liability

In no event will Company be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or business opportunities arising from or related to your use of the Services, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising under this Agreement will not exceed the total amount you paid for the Services in the six (6) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Company, its affiliates, employees, officers, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Services, violation of these Terms and Conditions, or any infringement of third-party rights.

13. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, and without prior notice. Upon termination, you will cease using the Services and any associated content, and you may request the deletion of your data, subject to our data retention policy.

14. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to this Agreement shall be resolved through binding arbitration in New Delhi, India, in accordance with the rules of the Indian Council of Arbitration (ICA). The arbitration award may be entered as a judgment in any court having jurisdiction.

15. Changes to These Terms

We may update these Terms and Conditions from time to time. Any changes will be posted on this page, and the updated version will be effective immediately upon posting. We encourage you to review these Terms periodically to stay informed about any updates.
